1. Acceptance of the Terms

These Terms of Use (the "Terms") form a legal agreement between you and NeurAlly Care Inc. ("NeurAlly Care", "we", "our", or "us") regarding your access to and use of the KeenSpire mobile application and related services (collectively, the "Services").

By creating an account, downloading, accessing or using the Services, or allowing a child to use the child-facing features of the Services under your account, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy.

If you do not agree to these Terms or to our Privacy Policy, you must not create an account, access the Services, or allow a child to use the Services.

If you are using KeenSpire through an employer, insurer, clinic, association, educational institution or other authorized partner, these Terms still apply to your use of the Services. Separate terms between NeurAlly Care and the sponsoring organization do not replace your obligations under these Terms unless expressly stated in writing.

2. Description of the Services

KeenSpire is a mobile application designed to support parents and legal guardians in helping children develop everyday life skills, emotional skills, autonomy, confidence, focus and related abilities through structured programs and playful activities.

The Services may include:

  • parent-managed accounts;
  • child profiles;
  • programs and activities for children;
  • progress tracking;
  • parent notes and observations;
  • downloadable tools and educational resources;
  • medication tracking and reminders entered by the parent;
  • the Keen AI Parenting Coach;
  • support communications and service notifications.

The available features may vary depending on the version of the application, platform, language, territory, subscription status, access program, partner program and technical configuration.

3. Important Limitations: No Medical Advice or Emergency Service

KeenSpire provides educational, informational and parental support tools. It is not a medical device, healthcare provider, mental health service, clinical decision support tool, diagnostic tool, treatment service or emergency service.

The Services do not provide:

  • medical, psychological, psychiatric, pharmacological or therapeutic advice;
  • diagnosis, assessment or treatment of any condition;
  • medication prescriptions, dosage recommendations or medication changes;
  • crisis intervention or emergency support;
  • clinical monitoring or professional supervision;
  • legal, financial or professional advice.

You remain solely responsible for decisions concerning your child, including decisions about health, medication, treatment, school, safety and professional care. You should consult qualified professionals for medical, psychological, developmental, educational, medication-related or safety concerns.

If you believe that you, your child or another person may be in danger, or if there is an emergency, contact emergency services or local crisis resources immediately. Do not rely on KeenSpire for urgent or emergency support.

4. Eligibility and Parent Responsibility

A KeenSpire account may only be created by a parent, legal guardian or another adult who is legally authorized to make decisions for the child. Children may not create independent KeenSpire accounts.

By creating an account or allowing a child to use the Services, you represent and warrant that:

  • you are at least the age of majority in your jurisdiction;
  • you have legal authority to create and manage the account and child profiles;
  • all information you provide is accurate, current and complete;
  • you will supervise the child’s use of the Services in an age-appropriate way;
  • you will use the Services in accordance with these Terms and applicable law.

You are responsible for all activity that occurs under your account, including use by children, family members or any person who accesses the Services through your credentials or device.

5. App Distribution and Access Pathways

KeenSpire is distributed exclusively through the Apple App Store and Google Play. NeurAlly Care does not distribute downloadable versions of the mobile application through its website.

Our website and authorized partner landing pages may be used to explain KeenSpire, verify eligibility, create or activate an account, redeem an access code, or manage sponsored access. These pages do not distribute the mobile application.

Depending on your access pathway, you may access KeenSpire through:

  • an individual subscription purchased through the Apple App Store or Google Play;
  • a sponsored access program provided by an employer, insurer, clinic, association, educational institution or other authorized partner;
  • a promotional code, invitation link or partner activation process;
  • another access method expressly authorized by NeurAlly Care and permitted by applicable platform rules.

If you are invited to create an account or verify eligibility through a partner landing page, you must still download the mobile application through the Apple App Store or Google Play before using it on your device.

6. Account Registration and Security

A KeenSpire account is required to use the Services. Parents and legal guardians currently register using an email address and password. KeenSpire does not currently support Sign in with Apple, Sign in with Google, Facebook Login or other third-party identity providers.

You agree to keep your login credentials confidential and secure. You must not share your password with another person, except where necessary to allow an authorized parent or legal guardian to manage the account.

You must notify NeurAlly Care promptly if you suspect unauthorized access to your account, loss of credentials or any security issue. We are not responsible for losses arising from your failure to safeguard your account credentials, except where liability cannot be excluded by law.

7. Child Profiles

A parent or legal guardian may create one or more child profiles under a Parent Account. Child profiles may include information such as the child’s first name or nickname, age or age range, gender if provided, avatar, support needs, goals, programs, activities, progress and parent-entered notes.

You are responsible for determining what information to enter into each child profile. You agree not to enter information about any child unless you have the legal authority to do so.

Child profiles are used to personalize the child’s experience and help parents follow progress. They are not clinical records and should not be used as a substitute for professional assessment or care.

8. Medication Feature

KeenSpire may allow parents or legal guardians to voluntarily add medication information to a child profile. This may include medication name, dosage, schedule, reminders, notes and related observations entered by the parent or legal guardian.

The medication feature is provided as a parent-managed tracking and reminder tool only. NeurAlly Care does not prescribe medication, recommend medication, recommend dosage, monitor side effects, assess treatment effectiveness, provide pharmacy advice, or recommend changes to medication or treatment.

You are solely responsible for the accuracy of medication information entered into KeenSpire, for reviewing reminders, and for consulting qualified healthcare professionals about any medication, dosage, side effects, interactions, treatment plan or health concern.

Medication reminders may fail, be delayed, be misconfigured, or be affected by device settings, connectivity, operating system behavior, notification permissions, app updates or other technical factors. You must not rely on KeenSpire as the only source of medication reminders or treatment management.

9. Keen AI Parenting Coach

KeenSpire may include the Keen AI Parenting Coach ("Keen"), an artificial intelligence-powered feature designed to provide general parenting support, educational information, practical suggestions and reflection prompts.

Keen generates responses automatically based on user prompts and relevant context available within the Services. AI-generated responses may be incomplete, inaccurate, outdated, inappropriate for your particular situation or misunderstood by the user.

You agree that:

  • Keen is not a professional, clinician, therapist, psychologist, physician, pharmacist, social worker, educator or emergency responder;
  • Keen does not diagnose, treat, prescribe, monitor or provide clinical recommendations;
  • you will use your own judgment before relying on any output;
  • you will consult qualified professionals where appropriate;
  • you will not use Keen for emergencies, crisis situations or safety-critical decisions.

NeurAlly Care may implement safeguards, moderation, monitoring, logging, review processes and quality controls to improve the safety and performance of Keen. These measures do not guarantee that every response will be accurate, complete or appropriate.

10. Programs, Activities and Parent Tools

KeenSpire may provide structured programs, activities, missions, exercises, tools, downloadable resources and progress indicators. These tools are intended to support skill development and parental reflection.

Results, progress indicators, completion rates, recommendations or achievements shown in the application are not clinical measurements and do not guarantee developmental outcomes. They should be interpreted as educational and supportive indicators within the application experience.

Parents remain responsible for choosing programs, interpreting progress and deciding how to use activities with their child.

11. Subscriptions, Trials and Sponsored Access

KeenSpire may be offered through individual subscriptions, free trials, promotional access or sponsored access programs. The availability, duration, pricing, renewal terms and cancellation rules may vary depending on the platform, country, promotion, partner program and access pathway.

11.1 Individual Subscriptions

If you purchase a subscription through the Apple App Store or Google Play, payment, renewal, cancellation and refund processes are governed by the applicable store policies and your account settings with Apple or Google.

Subscriptions may renew automatically unless cancelled before the renewal date in accordance with the applicable store rules.

11.2 Sponsored Access

If your access is provided through an employer, insurer, clinic, association, educational institution or another authorized partner, you may not be required to make an individual payment. Your access may depend on eligibility, program availability, partner funding, continued sponsorship, activation status and the terms of the applicable partner program.

Sponsored access may end if the program ends, your eligibility changes, the partner withdraws sponsorship, the applicable agreement expires or terminates, or NeurAlly Care determines that access should be suspended or terminated under these Terms.

11.3 Promotional Codes

Promotional codes or access codes may be subject to eligibility requirements, expiry dates, usage limits, territory restrictions and other conditions. Codes have no cash value and may not be sold, transferred or exchanged unless expressly permitted by NeurAlly Care.

11.4 Free Trials

Free trials may be offered at NeurAlly Care’s discretion or through platform-specific mechanisms. Trial terms, duration, conversion to paid subscription and cancellation requirements will be presented at the time of activation or by the applicable platform.

12. Apple App Store and Google Play

KeenSpire’s availability through the Apple App Store and Google Play is subject to the applicable platform terms, policies and technical requirements.

For purchases made through Apple or Google, NeurAlly Care does not control store billing, taxes, renewal timing, payment authorization, refund decisions or cancellation mechanics. You must manage store subscriptions through your Apple or Google account settings.

Nothing in these Terms is intended to override mandatory rights you may have under Apple, Google or applicable consumer protection laws.

If Apple or Google requires changes to the Services, subscription flow, account flow, content, disclosures or functionality, NeurAlly Care may modify the Services as necessary to maintain platform compliance.

13. Account Cancellation, Deletion and Data Requests

You may stop using KeenSpire at any time. Cancelling a paid subscription prevents future renewal but does not necessarily delete your KeenSpire account or personal information.

Where required by applicable platform policies or law, NeurAlly Care provides a way to request account deletion or deletion of personal information. Account deletion may result in loss of child profiles, progress, parent notes, medication information, access history and other account content.

Some information may be retained where required or permitted by law, including for security, fraud prevention, legal compliance, dispute resolution, accounting, platform compliance, backup integrity or enforcement of our agreements.

Privacy and data requests are handled in accordance with our Privacy Policy.

14. Acceptable Use and Restrictions

You agree to use the Services only for lawful, personal and family support purposes or as otherwise permitted by an applicable authorized access program.

You must not:

  • use the Services for illegal, harmful, fraudulent, abusive, exploitative or unauthorized purposes;
  • use the Services to provide medical, psychological, clinical, emergency or professional services to third parties;
  • copy, modify, reverse engineer, decompile, disassemble or attempt to extract source code except to the extent prohibited restrictions are not enforceable under applicable law;
  • sell, rent, sublicense, distribute or commercially exploit the Services;
  • circumvent access controls, subscription controls, payment controls or security features;
  • use bots, scrapers, crawlers or automated tools without authorization;
  • interfere with the operation, security or integrity of the Services;
  • upload malware, harmful code or disruptive content;
  • impersonate another person or misrepresent your affiliation with any person or organization;
  • enter personal information about a child or another individual without legal authority;
  • use the Services in a way that violates applicable law or these Terms.
15. User Content

You may enter information, notes, observations, messages, prompts, feedback, profile information, medication information and other content into the Services ("User Content"). You retain ownership of your User Content, subject to the rights granted below.

You grant NeurAlly Care a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, process, display, adapt and use User Content solely as necessary to provide, operate, secure, maintain, support, personalize and improve the Services, subject to our Privacy Policy.

You represent and warrant that you have all necessary rights and permissions to submit User Content and that your User Content does not violate any law, third-party right or these Terms.

You must not submit User Content that is unlawful, abusive, defamatory, hateful, discriminatory, obscene, misleading, exploitative, invasive of privacy, infringing, unsafe or harmful.

16. Intellectual Property

The Services, including the application, software, code, interfaces, graphics, characters, illustrations, sounds, text, content, methods, programs, activities, educational materials, downloadable resources, trademarks, logos and related materials, are owned by NeurAlly Care or its licensors and are protected by intellectual property laws.

Except for the limited right to use the Services in accordance with these Terms, no rights are granted to you. You may not copy, reproduce, modify, distribute, publicly display, create derivative works from or commercially exploit the Services without prior written authorization from NeurAlly Care.

If you provide feedback, suggestions or ideas regarding the Services, you grant NeurAlly Care the right to use them without restriction, compensation or attribution, unless prohibited by law.

17. Third-Party Services and Links

The Services may link to or integrate with third-party services, including Apple, Google, payment processors, analytics providers, hosting providers, email providers, support tools and AI infrastructure providers.

Third-party services are governed by their own terms and privacy policies. NeurAlly Care is not responsible for third-party services, content, policies or practices, except where required by law.

18. Electronic Communications

By creating an account or providing your email address, you agree to receive service-related electronic communications, including account messages, security notices, subscription notices, updates, support messages and changes to these Terms or our Privacy Policy.

Where permitted by law and based on your preferences, we may send product news or marketing communications. You may opt out of marketing communications, but you may continue to receive service-related messages that are necessary for the Services.

19. Availability, Updates and Support

NeurAlly Care aims to provide reliable Services, but we do not guarantee that the Services will always be available, uninterrupted, secure, error-free or compatible with every device or operating system.

We may modify, update, suspend, discontinue or remove features at any time, including to improve the Services, maintain security, address technical issues, comply with law, comply with platform requirements or adapt our business operations.

You are responsible for installing available updates. Some features may not work properly if you do not update the application or if your device, operating system, notification settings or internet connection are not compatible.

Support is provided through the channels made available by NeurAlly Care. Support response times are not guaranteed unless expressly agreed in a separate written agreement.

20. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory.

NeurAlly Care disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, accuracy, availability, non-infringement, security and uninterrupted operation, except where such exclusions are prohibited by law.

We do not warrant that the Services, AI-generated content, programs, activities, reminders, progress indicators, parent tools or resources will be accurate, complete, suitable for your circumstances, free of errors, or capable of producing any specific outcome.

21. Limitation of Liability

To the maximum extent permitted by applicable law, NeurAlly Care and its directors, officers, employees, contractors, affiliates, licensors, suppliers and partners will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data, goodwill, use or business opportunities arising out of or related to the Services or these Terms.

To the maximum extent permitted by applicable law, NeurAlly Care’s total liability for any claim arising out of or related to the Services or these Terms will be limited to the amount paid by you for the Services during the twelve months preceding the event giving rise to the claim, or one hundred Canadian dollars (CAD $100), whichever is greater.

Nothing in these Terms limits liability that cannot be limited under applicable law, including mandatory consumer protection rights.

22. Indemnification

To the extent permitted by law, you agree to defend, indemnify and hold harmless NeurAlly Care and its affiliates, directors, officers, employees, contractors, licensors, suppliers and partners from and against any claims, liabilities, damages, losses, costs and expenses, including reasonable legal fees, arising from or related to:

  • your use or misuse of the Services;
  • your violation of these Terms;
  • your User Content;
  • your violation of any law or third-party rights;
  • your unauthorized entry or disclosure of personal information about a child or another individual.
23. Suspension and Termination

NeurAlly Care may suspend or terminate your access to the Services if we reasonably believe that you have violated these Terms, used the Services unlawfully or abusively, created risk for other users or NeurAlly Care, failed to pay applicable fees, lost eligibility for sponsored access, or if suspension is required by law, platform policies or security considerations.

Upon termination, your right to access and use the Services will cease. Certain provisions of these Terms will survive termination, including provisions relating to intellectual property, user content licenses, confidentiality, disclaimers, limitation of liability, indemnification, governing law and dispute resolution.

24. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict of law principles, except where mandatory consumer protection laws provide otherwise.

Before initiating formal proceedings, you agree to contact NeurAlly Care and attempt to resolve any dispute informally. Nothing in these Terms limits mandatory rights you may have as a consumer or prevents you from bringing a claim before a competent court where such rights cannot be waived.

25. General Provisions

These Terms, together with the Privacy Policy and any additional terms presented to you for a specific feature or access program, constitute the entire agreement between you and NeurAlly Care regarding the Services.

If any provision is found invalid or unenforceable, the remaining provisions will remain in effect. NeurAlly Care’s failure to enforce a provision is not a waiver of that provision. You may not assign or transfer these Terms without our consent, except where permitted by law. NeurAlly Care may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets or by operation of law.

We may update these Terms from time to time. Material changes will be communicated by reasonable means, which may include in-app notice, email or posting an updated version. Your continued use of the Services after changes become effective means that you accept the updated Terms, subject to rights you may have under applicable law.
